Has Anthropic filed its IPO prospectus? Only confidentially. Anthropic submitted a draft S-1 registration statement to the SEC on 1 June 2026 (confirmed). The public version is not on SEC EDGAR yet; IFR reported it is planned for around 26 October 2026, and Yahoo Finance reported on 21 October that it could come as soon as Friday, 23 October. On 28 September, Reuters reported figures from a copy of the prospectus it had seen, and other outlets followed.

Confidential vs public S-1: where things stand
Under SEC rules, a company can file a draft registration statement confidentially, but it must make the S-1 public at least 15 days before its roadshow starts. Bloomberg and IFR have reported a roadshow from the week of 9 November, which points to a public filing in late October. When it appears, it will be searchable on SEC EDGAR under Anthropic, PBC.

Revenue and losses in the prospectus
Update, 21 October 2026: The Wall Street Journal, which reviewed an updated draft of the prospectus, reported revenue of $16.3 billion for the six months to 30 June 2026, up from $1.1 billion a year earlier. The net loss for the half was $80.7 billion, but about $72 billion of it came from non-cash charges on the convertible notes and other instruments Anthropic used to raise money (reported). Spending on computing and infrastructure was almost $9 billion in six months, more than the $7.33 billion reported for all of 2025. Half-year revenue was already about 3.5 times the $4.6 billion reported for the whole of 2025 (calculated). Reuters said it could not immediately verify the figures, and Anthropic did not comment. The public S-1 was still not on SEC EDGAR on 21 October.
Reuters reported that Anthropic’s revenue grew about twelvefold in 2025, but losses were large, mainly because of computing costs and an accounting charge. Figures are for calendar 2025 unless noted.
| Item | Reported figure | Notes |
|---|---|---|
| Revenue | Nearly $4.6 billion | About 12 times 2024 |
| Net loss | About $42 billion | About $34 billion was a non-cash charge tied to financing that can convert into shares |
| Operating loss | More than $8 billion | Excludes writedowns of liabilities |
| Total operating expenses | $12.65 billion | Of which $7.33 billion was compute and infrastructure, about 3x 2024 |
| Cash and short-term investments | $20.28 billion | At 31 December 2025 |
| Q2 2026 revenue | About $11.5 billion to $11.6 billion | FT reported $11.5B; other reports $11.6B |
| H1 2026 (six months to 30 June) | $16.3 billion revenue; net loss $80.7 billion | About $72 billion of the loss was non-cash; reported by the WSJ from a draft prospectus, 20 October 2026 |
| Q3 2026 revenue | $16.8 billion | Shared with investors in October; up 45% on Q2 |

The FT reported that Anthropic is on track for a second straight quarter of adjusted operating profit. Adjusted figures exclude some costs, so check the audited statements in the public S-1 before drawing conclusions.
The $518 billion compute commitment
The biggest number in the filing is not revenue but spending. Anthropic reportedly expects to spend at least $518 billion over about 10 years on cloud, chips and data centres, with roughly 80% payable regardless of actual use, according to InvestmentNews, citing Reuters.
| Partner | Reported commitment | Period |
|---|---|---|
| Broadcom-related equipment leases | About $161.2 billion | Non-cancellable except on default |
| At least $111.1 billion | April 2026 to July 2033 | |
| Amazon | $110 billion | May 2026 to April 2036 |
| xAI (Nvidia-based compute) | Up to $84.5 billion | Through 2029; mostly cancellable on 90 days’ notice |
| Microsoft | $31.4 billion | November 2026 to May 2033 |
| AMD | Compute expected above $20 billion, plus up to $5 billion of Anthropic stock purchases | Not stated |
For investors, this means Anthropic needs revenue to keep growing fast just to cover fixed commitments. It also ties the company closely to a few cloud providers that are also its investors.
The WSJ’s reading of the newer draft puts non-cancellable compute commitments at about $450 billion over the next decade, including about $111 billion with Google Cloud, $110 billion with AWS and $31 billion with Microsoft, and says total compute spending could reach $750 billion if deals still under negotiation close (reported). The $518 billion and $450 billion totals come from different drafts and reports; the public S-1 should settle which is current.
Customer concentration
Two customers made up nearly a quarter of 2025 revenue, the filing reportedly says. They were not named in the reports. The prospectus also warns that many large clients are not locked into long-term contracts and could cut spending. About 80% of revenue reportedly comes from business customers rather than consumers.
In the first half of 2026, two customers accounted for about 20% of revenue, according to the WSJ’s reading of the updated draft, down from nearly a quarter in 2025.
Risk factors: about 80 pages
Forbes, citing Reuters and the FT, reported that the prospectus runs to 261 pages, with nearly 80 pages of risk factors and 48 pages describing the business. Alongside usual risks such as competition, regulation and computing costs, it reportedly warns that advanced AI could pose “catastrophic or existential risks to humanity”.
- Model behaviour. The filing reportedly describes models that have shown or could show self-preserving behaviour, resisting shutdown, concealing or manipulating information, and behaviour resembling blackmail.
- Financial risk. Large losses, heavy fixed commitments and reliance on a few customers.
- Mission over profit. Anthropic warns that safety-driven decisions may conflict with shareholders’ financial interests and could hurt the value of Class A stock.
Share classes and who controls Anthropic
Anthropic is a Delaware public benefit corporation, so its directors may weigh the public interest alongside shareholder returns. International Finance, citing the prospectus as reviewed by Reuters, reported this structure:
| Element | What was reported |
|---|---|
| Share classes | Five classes; Class A, the class public investors would buy, carries one vote per share |
| Class F (Founder LLC) | A single share directed by a majority of the seven co-founders, carrying 50.1% of voting power on key matters |
| Board | Seven seats: Class F and Class A holders elect three (including Dario and Daniela Amodei); the Long-Term Benefit Trust picks four |
| Long-Term Benefit Trust | Independent trustees, including Ben Bernanke and Richard Fontaine, choose the board majority |
| Sunset | Class F begins to phase out once two or fewer co-founders remain |
In short, public shareholders would own economic interest but have limited control. That is common in founder-led tech IPOs, but the safety trust adds an unusual layer.

- Use of proceeds: how much goes to compute, debt or general purposes.
- Lock-up terms: when employees and early investors can sell.
- Dilution and share classes: final voting rights for Class A holders.
- Related-party deals with Amazon, Google and other investor-partners.
- Risk factors that changed from the reported draft.
