The updated filing and issue terms are on record, and the business has returned to profit. But boAt has deferred the launch since early 2026, and its SEBI approval will not last indefinitely.

IPO progress
Under the confidential route, a company files an updated draft after SEBI’s comments and then has a set window to launch. boAt has not announced dates.

boAt, one of India’s best known consumer electronics brands, has done almost everything needed to go public. Its parent, Imagine Marketing Limited, cleared SEBI’s review in 2025 and published an updated draft prospectus (UDRHP) on 29 October 2025 for an IPO of up to ₹1,500 crore. Then it stopped. Reports in January 2026 said the company had deferred the launch to reassess market conditions.
As of 18 October 2026 there is still no red herring prospectus, price band or date. The business has improved in the meantime, with the company reporting a higher profit for FY26 and zero bank debt. This page separates what is on record in SEBI filings from what has only been reported.

Two thirds of the issue is an offer for sale, so most of the money goes to existing shareholders rather than the company. The 10% retail quota is lower than the usual 35% because boAt does not pass SEBI’s profit track record test, after losses in FY23 and FY24. That means retail applicants would share a small pool of shares if demand is strong.
boAt IPO latest news and timeline
This is boAt’s second attempt. It first filed a draft prospectus with SEBI on 28 January 2022 for a ₹2,000 crore IPO, but shelved it later that year as market conditions turned. In April 2025 it filed again, this time through SEBI’s confidential route, and received approval in 2025. The public UDRHP followed on 29 October 2025 with a smaller ₹1,500 crore issue.
In January 2026, CNBC-TV18 reported that the company had put the IPO on hold again to reassess market conditions and its own readiness. No new date has been announced since. SEBI approval under the confidential route is valid for 18 months, according to Chittorgarh, which puts the outer limit for launching on this filing in early 2027. If boAt waits longer, it would need to file again.
boAt is not alone. Zepto and OYO also hold SEBI approval without a launch date, as large consumer and internet issues have waited for better pricing.
About boAt, its parent company and promoters
Aman Gupta and Sameer Mehta founded boAt in 2016. It sells wireless earphones, headphones, speakers, smartwatches, chargers and cables, mostly online, and most of its products are made by contract manufacturers. In its filing, boAt cites a Redseer report that ranks it first in India’s branded personal audio market in FY25, with a 26% share by value and 34% by volume, and fourth in the world by volume.
Audio is still the core of the business. It made up ₹2,586.04 crore, or 84.23%, of FY25 revenue from operations, with wearables at ₹330.41 crore and other products at ₹153.93 crore. Before the IPO the promoter group holds about 99% of the company, including South Lake Investment, the largest seller in the offer.
The numbers investors will look at
| Period | Total income | EBITDA | Profit or loss | Borrowings |
|---|---|---|---|---|
| FY23 | ₹3,403.18 cr | -₹59.76 cr | -₹129.45 cr | ₹1,236.11 cr |
| FY24 | ₹3,135.35 cr | ₹7.70 cr | -₹79.68 cr | ₹860.19 cr |
| FY25 | ₹3,097.81 cr | ₹142.52 cr | ₹61.08 cr | ₹564.88 cr |
| Q1 FY26 (Apr to Jun 2025) | ₹638.44 cr | ₹41.58 cr | ₹21.35 cr | ₹572.05 cr |
Restated consolidated figures from the updated draft prospectus, as tabulated by Chittorgarh. The quarter is not annualised.
The trend is a turnaround, not growth. Total income has slipped each year since FY23, but a loss of ₹129.45 crore in FY23 became a profit of ₹61.08 crore in FY25, and borrowings fell by more than half over the same period. The FY25 EBITDA margin was 4.64%.
For FY26, the company said in August 2026 that revenue from operations was ₹2,931 crore and profit rose 38% to ₹84.5 crore, with zero bank debt and about ₹397 crore in cash. Revenue was about 4.5% lower than FY25’s ₹3,070.38 crore. These FY26 figures come from a company statement, not an offer document; an RHP would have to include updated audited numbers.
What could change the plan
Growth is the main question. Profit has improved through cost control and lower interest, but revenue has not grown for three years, and public investors usually pay more for growth than for margins. A valuation the selling shareholders accept may be hard to find while the top line is flat.
Competition is the other risk. Audio and wearables are crowded markets with low prices and fast product cycles, and boAt depends on a few categories and online channels. On the positive side, the company says it now has no bank debt, so it does not need the IPO money urgently, which gives it room to wait.
boAt IPO review: what it means for investors
There is nothing to apply for yet. If boAt revives the plan, the RHP will show whether the issue size and the fresh issue and OFS split have changed, the price band and valuation, audited FY26 figures, and the anchor book. Any grey market premium quoted before a price band exists is unofficial.
The case for the IPO is a market leader that has returned to profit and cleared its bank debt. The case for caution is flat revenue, an issue that is mostly an exit for existing investors, and a small retail quota. We will add a full Scouter Reading once the price band is announced.
boAt IPO: frequently asked questions
No date has been announced as of 18 October 2026. boAt received SEBI approval in 2025 and filed its updated draft prospectus on 29 October 2025, but reports in January 2026 said it had deferred the launch to reassess market conditions.
Not announced as of 18 October 2026. The price band is set in the RHP shortly before an issue opens. boAt shares are not listed on any exchange, so there is no official share price; the face value is ₹1 per share.
There is no meaningful grey market premium as of 18 October 2026. GMP is usually quoted only after a price band is announced, and any figure before that is unofficial.
boAt is the brand of Imagine Marketing Limited, the company that filed the IPO papers. Aman Gupta and Sameer Mehta founded boAt in 2016, and before the IPO the promoter group, including South Lake Investment, holds about 99% of the company.
The updated draft prospectus proposes an IPO of up to ₹1,500 crore: a fresh issue of ₹500 crore and an offer for sale of ₹1,000 crore by existing shareholders. No price band or IPO valuation has been announced as of 18 October 2026.
boAt first filed a draft prospectus on 28 January 2022, then refiled through SEBI’s confidential route in April 2025 and received approval in 2025. The public updated DRHP followed on 29 October 2025. No RHP has been filed as of 18 October 2026.
South Lake Investment plans to sell ₹500 crore, Aman Gupta ₹225 crore, Fireside Ventures ₹150 crore, Sameer Mehta ₹75 crore and Qualcomm Ventures ₹50 crore, per the updated draft prospectus.
Yes. It reported a profit of ₹61.08 crore in FY25 after losses in FY23 and FY24, and the company said in August 2026 that FY26 profit rose 38% to ₹84.5 crore. The FY26 figures are from a company statement, not an offer document.
Up to 10% of the net offer. At least 75% is reserved for qualified institutional buyers and up to 15% for non-institutional investors, because boAt does not meet SEBI’s profit track record test.
There is nothing to apply for yet. Strengths: a turnaround from a ₹129.45 crore loss in FY23 to a ₹61.08 crore profit in FY25, lower borrowings and a first-place rank in India’s branded personal audio market, per a Redseer report cited in its filing. Risks: total income has slipped each year since FY23, two thirds of the issue is an offer for sale and the retail quota is only 10%. This is not a buy or sell call.
