IPO progress
Under the confidential route, a company files an updated draft after SEBI’s comments and can launch within the approval window. Zepto has not announced dates.

Zepto was meant to be one of the big listings of 2026. The quick commerce company filed a confidential draft prospectus in December 2025 and an updated draft with SEBI on 8 June 2026, seeking about ₹8,010 crore through a fresh issue along with an offer for sale.
Then the pricing conversations went badly. Bloomberg reported in July that foreign investors were valuing the company at about $4.5 billion before the new money, and domestic institutions at $3 billion to $3.5 billion, far below the $7 billion valuation Zepto reached in a private round in October 2025. On 1 August, Bloomberg reported that the IPO had been put on hold. Zepto has chosen to wait rather than list at a steep discount.

About Zepto and its founders
Zepto operates around 1,100 dark stores, small warehouses that let it deliver groceries and household items within minutes across Indian cities. It competes with Blinkit, owned by Eternal, Swiggy Instamart, Flipkart Minutes and BigBasket. The company has said it is targeting EBITDA breakeven by FY28 and full year profitability by FY29.
Zepto IPO valuation: the numbers investors will look at
The gap between Zepto’s last private valuation and what public market investors are willing to pay is the story. A $7 billion private mark against $3 billion to $4.5 billion in IPO talks is a cut of roughly 35% to 55%. Reports say domestic mutual funds were looking at a fresh private round at about $2.5 billion to $3 billion after the new money, though this had not been confirmed as closed.
Investors will compare Zepto with listed peers Eternal and Swiggy, both of which run large quick commerce arms, on order growth, contribution margin per order and cash burn.
What could change the plan
Quick commerce is still burning cash across the industry, and competition is intense. If listed peers fall further, Zepto’s valuation could come down again. A down round before the IPO, if confirmed, would set a lower anchor for pricing. The approval window on its filing also limits how long it can wait without refiling.
Zepto IPO review: what it means for investors
When Zepto returns, expect the price to be set much closer to the valuations investors indicated in 2026 than to the $7 billion private mark. That could make the issue more attractive for public investors, but the business remains loss making and competitive.
As a loss making company, its retail quota is likely to be capped at 10%, which means lower allotment odds if demand is strong.

We do not give buy or sell calls. Strengths: a network of about 1,100 dark stores, a filed and updated prospectus, and a valuation reset that could price the issue well below the $7 billion private mark. Risks: the business is loss making and targets EBITDA breakeven only by FY28, competition from Blinkit, Swiggy Instamart and others is intense, and the retail quota is likely to be capped at 10%.
