Kent RO Systems IPO Date: Expected Launch, Size and SEBI Status
Maker of Kent water purifiers, one of the early reverse osmosis (RO) brands in India, with four plants in Noida and Roorkee.
Kent RO had SEBI approval for a promoter share sale but did not file an RHP before its window closed on 30 September 2026. Any launch now needs new papers with fresh financials.
Based on SEBI filings and public reports as of 18 October 2026. Not investment advice.

IPO progress
SEBI observation letters normally last 12 months. A one-time relief in April 2026 stretched letters expiring from April to September 2026 to 30 September 2026. Kent RO did not launch in time.

Kent RO Systems, the company behind the Kent water purifier brand, filed for an IPO in January 2025 and received SEBI’s approval in June 2025. The plan was simple: the founding Gupta family would sell about 10% of the company to the public, and the company itself would raise no new money. As of 18 October 2026 that IPO has not happened, and the approval window ended on 30 September 2026.
Kent still appears in many broker apps as an upcoming IPO, which is why readers keep asking about it. This page explains what the filing said, what the numbers show, and why a fresh filing is now likely before any launch.

Because this is a pure OFS, all the money raised would go to the three promoters, not to Kent. The company does not need capital: it had almost no debt at the time of filing. The IPO is mainly about giving the family a market price and partial exit, and giving the brand a listing.
Kent RO IPO latest news and timeline
Kent filed its draft red herring prospectus (DRHP) with SEBI on 23 January 2025. SEBI approved the issue on 6 June 2025, in a batch with a few other companies. An approval like this normally allows 12 months to launch.
Kent did not launch in 2025 or early 2026. In April 2026, with markets under pressure, SEBI granted a one-time relief that kept approvals expiring between 1 April and 30 September 2026 valid until 30 September 2026. Kent’s approval fell inside that window, but no red herring prospectus appeared on SEBI’s list by the deadline. Chittorgarh also lists 30 September 2026 as its approval expiry.
About Kent RO Systems and its promoters
Kent RO Systems was incorporated in 2007 and is led by founder Mahesh Gupta. It helped popularise reverse osmosis (RO) purifiers for Indian homes, and its purifiers were the first in India to get NSF/ANSI 58 certification, according to the DRHP summary on Chittorgarh. Beyond purifiers it sells water softeners, fans and a range of kitchen and home appliances.
The company makes its products at four plants, one in Roorkee and three in Noida. Its after-sales network is a big part of the pitch: as of 30 September 2024 it had more than 1,800 service partners across 28 states and six union territories. It competes with Eureka Forbes (Aquaguard), A. O. Smith, Livpure and a growing set of online-first brands.
Kent RO turnover, profit and financials
| ₹ crore | FY22 | FY23 | FY24 | H1 FY25 |
|---|---|---|---|---|
| Total income | 1,085.7 | 1,109.1 | 1,260.7 | 684.0 |
| Profit after tax | 154.9 | 97.1 | 167.6 | 69.6 |
| Net worth | 1,448.3 | 1,510.2 | 1,677.8 | 1,646.1 |
| Borrowings | 10.8 | 13.4 | 0.7 | 10.2 |
Revenue from operations rose about 8.7% to ₹1,178.1 crore in FY24, and profit recovered to ₹167.6 crore after a dip in FY23. The gap between total income and operating revenue, about ₹82 crore in FY24, is mostly other income, which suggests Kent holds a large cash and investment pile. Return on net worth was about 9.9% in FY24, modest for a consumer brand, partly because of that idle capital.
These figures are now old. Kent’s FY25 and FY26 results have not appeared in any offer document, so we do not show them here. Any new filing will have to include them, and investors will judge the IPO on those numbers, not on the 2024 data.
What could change the plan
The key question is whether the Gupta family still wants to sell. A pure OFS has no funding need behind it, so the promoters can wait for a better market or valuation. If they do proceed, the company will need to file fresh offer documents and go through SEBI’s review again, which usually takes a few months.
The terms could also change. A new filing could resize the OFS, add a fresh issue, or come with a different set of lead managers.
Kent RO IPO review: what it means for investors
There is nothing to apply for today. Kent is a profitable, debt-free and well-known brand, but growth has been slow and returns on capital are modest. When an IPO is fully an OFS, check how the price compares with listed consumer durables peers, because none of the money stays in the business.
Scouter tip: Ignore any Kent RO grey market price for now. Without a live approval and an RHP, there is no issue to trade on. If a new DRHP is filed, we will update this page with the new size, quotas and financials.
How we rate this rumor
We rate Kent RO as stalled. The filing and approval were real, but the window has closed without a launch and there has been no public statement on a new timeline. Until a fresh DRHP appears on SEBI’s website, treat broker app listings as out of date.
Kent RO IPO: frequently asked questions
No date has been announced as of 18 October 2026. Kent RO received SEBI approval on 6 June 2025, and that approval stayed valid until 30 September 2026 under SEBI’s relief, but no red herring prospectus was filed. A launch would now need a fresh filing.
The draft prospectus offers 1,00,94,568 shares, about 10% of the company, through an offer for sale by the promoters. The rupee size and valuation depend on the price band, which was never announced.
No price band was announced, and none exists as of 18 October 2026. Kent RO Systems is unlisted, so there is no official share price.
There is no meaningful grey market premium (GMP), because there is no live approval, RHP or price band. GMP is unofficial and often differs from the actual listing price.
No. The issue is a 100% offer for sale, so the proceeds go to the selling promoters Mahesh Gupta, Sunita Gupta and Varun Gupta.
Kent RO Systems is led by its founder Mahesh Gupta. Before the planned IPO the promoters Mahesh Gupta, Sunita Gupta and Varun Gupta held 100% of the company; after the offer for sale they would hold about 90%.
At least 35% of the net offer, with up to 50% for qualified institutional buyers and at least 15% for non-institutional investors.
Yes. Restated profit after tax was ₹167.6 crore in FY24 on total income of ₹1,260.7 crore, and ₹69.6 crore in the six months to September 2024. The company had almost no debt.
Restated figures in the DRHP show revenue from operations of ₹1,178.1 crore in FY24, up about 8.7%, and total income of ₹1,260.7 crore. Total income was ₹684.0 crore in the six months to September 2024. FY25 and FY26 figures have not appeared in any offer document as of 18 October 2026.
Kent RO filed its DRHP on 23 January 2025 and received SEBI approval on 6 June 2025. The approval was due to lapse in June 2026, was extended to 30 September 2026 under SEBI’s one-time relief, and no red herring prospectus was filed by then. The window has therefore ended unless SEBI grants further relief.
It cannot be judged until a fresh filing with new financials. Strengths: a well-known brand, almost no debt and FY24 profit of ₹167.6 crore. Risks: slow growth, return on net worth of about 9.9% in FY24, a 100% offer for sale so no money goes to the company, and financials that are now dated. This is not investment advice.
