Hero FinCorp IPO Date, Price and Latest News: ₹3,358 Crore Plan
Hero Group’s non-banking finance company, lending to two-wheeler buyers, consumers and small businesses since 1991.
SEBI cleared the IPO in May 2025, but no red herring prospectus was filed before the extended 30 September 2026 deadline. A fresh filing is likely needed before any launch.

IPO progress
A SEBI observation letter normally lasts 12 months. SEBI extended letters expiring between April and September 2026 to 30 September 2026. Hero FinCorp did not launch within that window.

Hero FinCorp, the lending arm of the Hero Group, has been preparing to list for more than two years. It filed its draft red herring prospectus (DRHP) in mid-2024, won SEBI’s clearance in May 2025, and in November 2025 published an addendum that updated its numbers and resized the issue to ₹3,358 crore. Yet as of 9 October 2026 it has not filed a red herring prospectus (RHP), and its approval window has run out.
This page sets out what is on record, why the IPO has stalled, and what would need to happen next. We will update it when the company files fresh papers or announces dates.

The shareholder reservation stands out. If the IPO goes ahead in this form, people who hold Hero MotoCorp shares on the record date would be able to bid in a separate quota, which often has better allotment odds than the general retail pool.
Hero FinCorp IPO latest news and timeline
Hero FinCorp’s draft prospectus is dated 31 July 2024 and was posted on SEBI’s website in August 2024. At that stage it planned a ₹3,668 crore IPO: ₹2,100 crore of new shares and ₹1,568 crore of shares sold by existing investors. SEBI issued its observations on 22 May 2025, according to PTI, which cleared the company to launch.
The company did not launch in 2025. Instead it raised about ₹310 crore through pre-IPO placements and, on 17 November 2025, filed an addendum with restated results to 30 September 2025. The fresh issue shrank by the same ₹310 crore to ₹1,790 crore, while the OFS stayed at ₹1,568 crore.
In April 2026, during a weak market, SEBI gave one-time relief: observation letters due to expire between 1 April and 30 September 2026 stayed valid until 30 September 2026. Hero FinCorp’s letter, issued in May 2025, fell in that group. No RHP appears on SEBI’s list of red herring documents up to 9 October 2026, so the extended window has passed without a launch.
About Hero FinCorp and its parent company
Hero FinCorp is a non-banking financial company (NBFC) set up in 1991. It is best known for financing Hero two-wheelers at dealerships, but it also offers personal loans, used car loans, home loans through a subsidiary and loans to small and medium businesses. As of March 2024 retail loans made up about 65% of its book and MSME loans about 21%, and it had about 1.18 crore customers.
Its loan book, measured as assets under management (AUM), reached ₹58,163 crore at 30 September 2025, up from ₹41,751 crore in March 2023. Borrowings stood at about ₹50,580 crore against a net worth of ₹5,919 crore, so the business is highly leveraged, as most lenders are.
The numbers investors will look at
| ₹ crore | FY23 | FY24 | FY25 | H1 FY26 |
|---|---|---|---|---|
| Total income | 6,447.5 | 8,359.7 | 9,903.3 | 4,883.7 |
| Restated profit (loss) | 479.9 | 637.0 | 110.0 | (130.8) |
| AUM (period end) | 41,750.9 | 51,820.8 | 57,720.5 | 58,162.5 |
| Gross NPA | 5.11% | 4.02% | 5.05% | 5.05% |
| Net NPA | 2.69% | 2.00% | 2.30% | 2.32% |
The trend is the main concern. Income kept rising, but profit fell from ₹637 crore in FY24 to ₹110 crore in FY25, and the first half of FY26 swung to a loss of ₹130.8 crore. Gross NPAs moved back above 5%, which points to higher credit costs in the unsecured and small-business books. Loan growth has also slowed sharply: AUM grew less than 1% between March and September 2025.
For a lender, those numbers matter more than headline size. Investors will want to see credit costs falling and profit recovering before they pay a premium to book value. The fresh capital would strengthen the balance sheet for future lending, while the OFS lets existing investors, mainly AHVF II and Otter, take money off the table.
What could change the plan
The simplest path is a new filing. If SEBI’s relief is not extended again, Hero FinCorp would need to file a fresh draft or updated papers, with newer financials, and wait for SEBI’s comments before it can open the issue. That usually takes several months.
The other variables are results and market mood. Two or three quarters of improved profit and stable asset quality would make an IPO easier to price. A further rise in bad loans, or a weak market for NBFC stocks, could push the plan out again or reduce the OFS.
Hero FinCorp IPO review: what it means for investors
There is nothing to apply for right now. Hero FinCorp is a large, well-known lender with a strong parent group, but its recent results have weakened and its approval has lapsed. Treat any grey market price or unlisted share quote as speculation until a new RHP sets the price band.
Scouter tip: If you hold Hero MotoCorp shares and want to use the shareholder quota, watch for the record date in the RHP when it comes. Before applying, compare the price to book value with listed NBFC peers and read the asset quality section, not just the growth story.
How we rate this rumor
We mark Hero FinCorp as delayed rather than dead. The company has spent heavily on bankers, filings and a pre-IPO round, which suggests intent to list. But until a fresh filing appears on SEBI’s website, no date reported in the media can be relied on.
Hero FinCorp IPO: frequently asked questions
No date has been announced as of 9 October 2026. SEBI cleared the IPO in May 2025 and that approval was extended to 30 September 2026, but no red herring prospectus was filed. The company will likely need a fresh filing before it can launch.
Not announced as of 9 October 2026. The price band and lot size are fixed only shortly before an IPO opens, after the red herring prospectus is filed. Hero FinCorp is unlisted, so there is no exchange share price yet.
There is no meaningful GMP yet. Without a price band there is nothing for a grey market premium to be measured against, so any quote seen now is speculation. GMP is unofficial and unregulated and often differs from the actual listing price.
Hero FinCorp is part of the Munjal family’s Hero Group. Hero MotoCorp Limited is named among its promoters in the November 2025 addendum to the draft prospectus, and Hero FinCorp is an associate company of Hero MotoCorp, which is why the draft includes a quota for Hero MotoCorp shareholders.
We do not make buy or sell calls. On the strengths side, assets under management grew from ₹41,751 crore in March 2023 to ₹58,163 crore by 30 September 2025, backed by the Hero two-wheeler dealer network. On the risks side, profit fell to ₹110 crore in FY25, it posted a restated loss of ₹130.8 crore in the six months to September 2025, gross NPAs were 5.05% and the business is highly leveraged. Judge the price band against these numbers once it is announced.
The November 2025 addendum to the draft prospectus sets the issue at up to ₹3,358.1 crore: a fresh issue of up to ₹1,790 crore and an offer for sale of up to ₹1,568.1 crore. These figures could change in any new filing.
AHVF II Holdings Singapore II (up to ₹1,000 crore), Otter Limited (₹313.4 crore), APIS Growth II (Hibiscus) (₹250 crore) and Link Investment Trust (₹4.8 crore), as per the addendum.
Not set yet. The draft prospectus includes a shareholder reservation portion for eligible Hero MotoCorp shareholders, but the quota size and the record date that decides eligibility will only be fixed in the red herring prospectus, which had not been filed as of 9 October 2026.
It was profitable in FY23, FY24 and FY25, but profit fell to ₹110 crore in FY25 and it posted a restated loss of ₹130.8 crore in the six months to 30 September 2025. Gross NPAs were 5.05% at that date.
SEBI’s observations were issued in May 2025. Under SEBI’s April 2026 relief, approvals expiring between April and September 2026 stayed valid until 30 September 2026. No red herring prospectus was filed by then, so the window has passed unless SEBI grants further relief.
