IPO progress
Under the confidential route, a company files an updated draft after SEBI’s comments and then has a set window to launch. OYO has not announced dates.

OYO is closer to the stock market than it has been in years. Its parent company, listed on SEBI’s site as Oravel Stays Limited and now run under the PRISM group name, published its updated draft prospectus (UDRHP-I) on 30 June 2026 after clearing SEBI’s review. The plan is an IPO of up to ₹6,650 crore made up entirely of new shares, with about three quarters of the money set aside to repay debt.
What is still missing is a date. As of 18 October 2026 there is no red herring prospectus, price band or opening date, and the company has only said it will launch subject to market conditions. This page separates what is on record in SEBI filings from what has only been reported, and we will update it when the RHP is filed.
OYO IPO details: what we know so far

| Issue size | Up to ₹6,650 crore, fresh issue only, no offer for sale |
| Face value | ₹1 per share |
| Pre-IPO placement | Up to ₹1,330 crore, which would reduce the fresh issue |
| Use of money | ₹4,987.5 crore to repay borrowings of its Singapore subsidiary; the rest for general corporate purposes |
| Investor quotas | At least 75% QIB, up to 15% NII, up to 10% retail |
| Lead managers | Axis Capital, Citigroup, Goldman Sachs, ICICI Securities, JM Financial, SBI Capital Markets, Intensive Fiscal Services and InCred |
| Registrar | MUFG Intime India |
| Proposed listing | NSE and BSE |
| Price band and dates | Not announced |
The 10% retail quota is lower than the usual 35%. That split applies to companies that do not pass SEBI’s profit track record test, and OYO’s loss in FY23 keeps it in that group. In practice, retail applicants will compete for a much smaller pool of shares if demand is strong.
OYO IPO latest news and timeline
This is OYO’s third serious run at a listing. It first filed a draft prospectus with SEBI on 1 October 2021 for an ₹8,430 crore IPO, at a reported valuation of about $12 billion, and filed two addenda in 2022. That issue never launched as global tech valuations fell. A second attempt through the confidential route followed in 2023 and was withdrawn in May 2024 while the company refinanced its debt, according to media reports.
The current attempt started with shareholder approval at an EGM on 20 December 2025 and a confidential filing at the end of that month. SEBI cleared it in early June 2026, as reported at the time, and the public UDRHP-I followed on 30 June, opening a 21 day window for public comments. Since then the company has not filed an RHP, the document that carries the price band and dates.
Other large new-age issues have taken a similar path this year. Zepto filed an updated draft and then paused over valuation, and PhonePe has also held back after SEBI approval, so a gap between approval and launch is not unusual.
About OYO and its parent company PRISM
Ritesh Agarwal founded OYO in 2012 as a budget hotel brand in India. The group now earns most of its money abroad: 83.77% of revenue in the nine months to December 2025 came from outside India, according to the draft prospectus. As of 31 December 2025 its platform had 24,303 hotels, 124,668 homes and 144,583 listings, about 2.94 lakh storefronts across more than 35 countries.
Its brands include OYO, Townhouse, Sunday and Palette in hotels, Motel 6 and Studio 6 in the US through G6 Hospitality, which it bought in 2024, and holiday homes in Europe through Belvilla and DanCenter. The model is largely asset light: it earns commissions, revenue shares and franchise royalties rather than owning the properties.
SoftBank’s SVF India Holdings is the largest shareholder at about 40%. Because this is a fresh issue only, none of the existing investors, including SoftBank, Ritesh Agarwal, Microsoft, Airbnb, Lightspeed and Peak XV Partners, is selling shares in the IPO.
The numbers investors will look at
| Period | Revenue from operations | EBITDA | Profit or loss | Borrowings |
|---|---|---|---|---|
| FY23 | ₹5,463.95 cr | -₹324.41 cr | -₹1,286.52 cr | ₹5,071.49 cr |
| FY24 | ₹5,388.79 cr | ₹1,279.98 cr | ₹229.58 cr | ₹3,602.97 cr |
| FY25 | ₹6,252.83 cr | ₹953.43 cr | ₹244.82 cr | ₹7,144.05 cr |
| 9M FY26 (Apr to Dec 2025) | ₹6,940.97 cr | ₹2,127.22 cr | ₹748.34 cr | ₹7,484.88 cr |
Restated consolidated figures from the draft abridged prospectus. Nine month figures are not annualised.
The turnaround is clear. A loss of ₹1,286.52 crore in FY23 has become a profit of ₹748.34 crore in just nine months of FY26, three times the full-year profit of FY25, and nine month revenue is already above the whole of FY25. EBITDA for the nine months, ₹2,127.22 crore, is more than double FY25’s.
Debt is the other side of the story. Borrowings almost doubled in FY25 to ₹7,144.05 crore, the same year it bought G6 Hospitality, and stood at ₹7,484.88 crore in December 2025 against a net worth of ₹6,146.62 crore. The planned ₹4,987.5 crore repayment would cover about two thirds of that debt, which should cut interest costs sharply once the IPO is done.
What could change the plan
Valuation is the main swing factor. The reported $7 to 8 billion target is well below the roughly $12 billion OYO sought in 2021, but large tech issues in 2026 have been priced cautiously, and two earlier attempts ended without a listing. A weak market could push the launch back again, although the approval gives the company time.
The draft prospectus also lists risks worth reading before the RHP: dependence on overseas markets, especially the US; integrating G6 Hospitality and smaller acquisitions; a dispute with Zostel where an adverse outcome could require issuing or transferring up to 7% of its shares or paying an equivalent amount; and a pending trademark application for the PRISM name. A pre-IPO placement of up to ₹1,330 crore, if it happens, would shrink the public issue.
OYO IPO review: what it means for investors
For now there is nothing to apply for. The useful signals will come with the RHP: the price band and implied valuation, the latest quarter’s results, the final size after any pre-IPO placement, and the anchor book. Any grey market premium quoted before a price band is announced is unofficial and has no reliable basis.
The case for the IPO is a business that has turned profitable and plans to use the money to pay down debt. The case for caution is a history of delayed listings, most of its revenue coming from overseas markets, and a small retail quota that will limit allotment odds if the issue is popular. We will add our full Scouter Reading once the price band is out.
OYO IPO: frequently asked questions
No OYO IPO date has been announced as of 18 October 2026. The company has said it will launch subject to market conditions, and the opening and closing dates will come with the red herring prospectus (RHP).
The updated draft prospectus proposes a fresh issue of up to ₹6,650 crore with no offer for sale. A pre-IPO placement of up to ₹1,330 crore, if completed, would reduce the size of the fresh issue. Media reports put the targeted valuation at $7 to 8 billion; that figure is reported, not official.
About ₹4,987.5 crore will be invested in its Singapore subsidiary, Oravel Stays Singapore, to repay or prepay borrowings. The rest will go to general corporate purposes, capped at 25% of the gross proceeds.
Yes, in recent periods. The draft prospectus shows a profit of ₹244.82 crore in FY25 and ₹748.34 crore in the nine months to December 2025, after a loss of ₹1,286.52 crore in FY23.
Up to 10% of the net offer. At least 75% is reserved for qualified institutional buyers and up to 15% for non-institutional investors, the split used for companies that do not meet SEBI’s profit track record test.
There is no meaningful OYO IPO GMP today. GMP is usually quoted only after a price band is announced, and any figure is unofficial and often differs from the actual listing price.
The price band has not been announced as of 18 October 2026; it will be set in the RHP. OYO shares are not listed on any exchange, so there is no official share price yet.
OYO is run by PRISM, the group name used by Oravel Stays Limited, which is the issuer in the SEBI filings. Ritesh Agarwal founded OYO in 2012, and SoftBank’s SVF India Holdings is the largest shareholder at about 40%.
OYO received SEBI approval under the confidential route in early June 2026 and made its updated draft prospectus (UDRHP-I) public on 30 June 2026. The RHP, which carries the price band and dates, had not been filed as of 18 October 2026.
We do not give buy or sell calls. On the positive side, the filings show a turnaround from a ₹1,286.52 crore loss in FY23 to a ₹748.34 crore profit in the nine months to December 2025, and ₹4,987.5 crore of the issue is set aside to repay debt. The risks include borrowings of ₹7,484.88 crore, 83.77% of revenue coming from outside India, two earlier listing attempts that did not launch, and a retail quota of only 10%.
