IPO progress
Flipkart has not filed a draft prospectus with SEBI. The next milestone to watch is a DRHP filing, confidential or public.

Flipkart has spent more than a decade being talked about as a future IPO, first in the United States and now in India. The difference this time is that it has taken real steps. It has received tribunal approval to move its legal home from Singapore back to India, a move widely seen as preparation for an Indian listing, and reports say it has held early talks with investment banks.
What it has not done is file a draft prospectus. As of 4 October 2026, Inc42’s IPO tracker still lists Flipkart as “yet to file DRHP”, and no issue size has been decided. Reports in May 2026 said Flipkart had paused its IPO plans amid volatile markets, and in late September 2026 Business Standard reported, citing people familiar with the matter, that the listing could be delayed by another one to two years.
Flipkart IPO details: what we know so far
| Detail | Flipkart IPO |
|---|---|
| Company | Flipkart, majority owned by Walmart |
| Shareholders | Walmart about 85%, Tencent about 4%, others about 11% (reported) |
| Domicile | Shifted from Singapore to India after NCLT approval |
| Other approvals | Government approval under Press Note 3 sought, as reported |
| Banks in talks | Goldman Sachs, Kotak Mahindra Capital, Morgan Stanley, JP Morgan (reported) |
| Expected timing | Not announced; reported delay of one to two years |
| Issue size | Not decided |
| DRHP | Not filed as of 18 October 2026 |
The domicile change matters because Indian rules generally require a company to be incorporated in India to list here. Flipkart’s holding structure sat in Singapore for years, so bringing it home removes one of the biggest practical barriers to an Indian IPO.

About Flipkart and its parent company Walmart
Flipkart runs one of India’s two largest online marketplaces along with Amazon, and owns fashion platform Myntra, the Ekart logistics network and a growing grocery and quick commerce business through Flipkart Minutes. It has been adding senior leadership in finance and supply chain over 2026, steps that typically come before a listing.
Flipkart valuation and the numbers investors will look at
Reported figures put Flipkart’s revenue at about ₹56,012 crore in FY24 with a loss of about ₹4,890 crore, and revenue of about ₹83,105 crore in FY25. These numbers come from secondary reports and will only be confirmed in a prospectus. Investors will focus on whether the marketplace business is profitable, how much quick commerce is costing, and how cash burn has trended.
Valuation will be the biggest question. Walmart’s $36 billion mark from 2024 is the last widely reported reference point, but the listed comparison will be with Indian internet stocks such as Zomato’s parent Eternal, Swiggy and Nykaa, which are valued on growth and path to profit.
What could change the plan
Large internet IPOs have struggled at times in 2026. PhonePe paused its issue in March and Zepto put its listing on hold in August after investors pushed back on valuation. Flipkart will want stable markets and a clear profit story before it files. Regulatory approvals linked to its foreign ownership could also affect the timing.
Flipkart IPO review: what it means for investors
There is nothing to apply for yet. When Flipkart files, expect a large offer for sale component, since existing investors would likely use the listing to sell part of their holdings. Walmart is expected to keep control.
Treat unlisted market prices for Flipkart shares with caution. They are thinly traded and are not a reliable guide to IPO pricing.

Not decided. Without a draft prospectus the issue size is unknown. A large offer for sale component is expected, since existing investors would likely use the listing to sell part of their holdings.
We do not give buy or sell calls, and there is no offer document to judge yet. Strengths: one of India’s two largest online marketplaces, ownership of Myntra and Ekart, and reported FY25 revenue of about ₹83,105 crore. Risks: a reported FY24 loss of about ₹4,890 crore, the cost of quick commerce, and an IPO timeline that has already been pushed back.
