Liqvd Digital India slipped on its debut. The ₹39.01 crore BSE SME issue, priced at ₹54, opened at ₹53.73 on 30 September and fell to the 5% lower circuit, closing at ₹51.05, down 5.5%.

The digital marketing agency had drawn 5.08 times subscription, but that was almost entirely from big HNIs; retail bid only 1.43 times.

Liqvd Digital India Ltd was incorporated in 2013 and is promoted by Arnab Mitra, Ashish Motilal Jalan, Vivek Suchanti and Concept Communication Ltd. It offers social media management, media planning and buying, content production, influencer marketing, SEO, performance marketing and web and app development.

Clients span IT, FMCG, logistics, financial services, manufacturing and healthcare. It has offices in Mumbai and Gurgaon and a US presence through AdLift Inc., which it is acquiring a larger stake in. The company had 53 employees plus 119 at AdLift.

The IPO funds the AdLift stake (₹9 crore), a video production hub (₹10.59 crore) and working capital (₹6.57 crore). Arnab Mitra sold ₹4.87 crore of shares through the OFS.

What these numbers tell us, in plain language:

  • FY26 growth was dramatic. Revenue jumped from ₹25 crore to ₹60.9 crore and profit from ₹2.3 crore to ₹8 crore. Much of that reflects consolidating AdLift.
  • Margins improved. EBITDA margin rose to 18.7% and net margin to 13.2%.
  • Low debt. Borrowings were ₹9.8 crore, debt to equity 0.29.
  • Fair valuation. Post-issue P/E was about 15x at the issue price.

By the close on 25 September, the QIB portion was exactly covered at 1.00 times, big HNIs bid 27.11 times, small HNIs 2.33 times and retail 1.43 times, for 5.08 times overall across 2,998 applications.

The day-wise build-up tells the real story. The issue was 1.03 times subscribed on day 1 and only 1.23 times on day 2, so almost all of the extra demand arrived in the final hours, and it came from big HNI bids rather than from retail investors. Combined NII demand ended at 21.02 times.

The GMP story

Liqvd Digital India never built a grey market premium. GMP trackers we follow showed ₹0 on every day of the bidding window and through to listing, which meant traders expected the stock to open almost exactly at its ₹54 issue price.

That is exactly what happened. The shares opened at ₹53.73, just 0.5% below the issue price, so the flat GMP turned out to be an accurate read of sentiment. What the grey market did not price in was the selling that followed the open, which took the stock to its lower circuit by the close.

A zero GMP alongside a 5 times subscription is unusual. It suggests that the late big HNI demand was not matched by traders willing to pay a premium for the shares, a mismatch that often shows up as selling pressure once a stock starts trading.

Scouter tip: When an SME IPO shows a flat GMP but a late jump in HNI subscription, look at retail and QIB numbers before reading too much into the headline figure. Here retail at 1.43 times was the more honest signal of demand.

How much growth is organic?

With AdLift consolidated, FY26 numbers are not directly comparable with earlier years. Investors will want to see organic growth in the next few quarters.

A crowded agency market

Digital marketing has low barriers to entry, and clients can switch agencies easily. Margins depend on retaining key clients and talent.

Demand was concentrated in big HNIs

Big HNIs bid 27.11 times their quota, while small HNIs managed 2.33 times and retail 1.43 times. When one category carries most of the demand, part of it is often leveraged money looking for a quick listing gain. Once the opening price showed no gain, some of those holders sold, and with a 5% circuit on BSE SME the stock hit its lower limit within the first session.
